Abstract
El Reglamento comunitario 2157/2001, de 8 de octubre, sobre Sociedad Anónima Europea (SE) y la Directiva 2001/86/CE, de 8 de octubre, que lo completa en materia de implicación de los trabajadores en la SE, necesitan de manera inexorable de la contribución de las legislaciones de los Estados miembros para conseguir un régimen societario y extrasocietario relativamente completo. En España, la Ley 19/2005, de 14 de noviembre, sobre sociedad anónima europea domiciliada en España y la Ley 31/2006, de 18 de octubre sobre implicación de los trabajadores en las sociedades anónimas y cooperativas europeas, cumplen esta finalidad, si bien, es la Ley 3/2009, de 3 de abril, sobre modificaciones estructurales de las sociedades mercantiles, la que proporciona los elementos tipificadores necesarios para la caracterización jurídica de la SE domiciliada en España, como una modificación estructural supranacional comunitaria sui generis.
